Terms of Use for B2B Africa

These Terms of Use (“Agreement”) govern your use of the services provided by B2B Africa, a company registered in Cameroon, with its principal place of business at Akwa, through its website or any other digital platform (“Mobile Apps”). By accessing or using the Platform, you agree to be bound by this Agreement.

Acceptance of Terms
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, you may not access or use the Platform.

Services
The Company provides a B2B platform that enables businesses to Sell their products and services to the African market.

User Accounts
To access certain features of the Platform, you may need to create a user account. You agree to provide accurate and complete information during the registration process and to keep your account credentials secure. You are responsible for all activities that occur under your account.

Use of the Platform
a. You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations.
b. You are solely responsible for your use of the Platform and any content or information you upload, transmit, or otherwise make available through the Platform.
c. You agree not to engage in any of the following prohibited activities:

Violating any applicable laws or regulations.
Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
Uploading, transmitting, or distributing any viruses, malware, or other harmful computer code.
Interfering with or disrupting the integrity or performance of the Platform.
Collecting or harvesting any personally identifiable information from the Platform.
Engaging in any other activity that, in the Company’s sole discretion, is deemed inappropriate or objectionable.

Intellectual Property
a. The Platform and its content, including but not limited to text, graphics, logos, images, and software, are protected by intellectual property laws and are the property of the Company or its licensors.
b. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purposes. You may not reproduce, modify, distribute, or otherwise exploit any portion of the Platform without the Company’s prior written consent.

Limitation of Liability
a. The Company makes no representations or warranties regarding the accuracy, reliability, or completeness of the Platform or any content or information provided through the Platform.
b. To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform.
c. The Company’s total liability for any claim arising out of or relating to this Agreement or the Platform shall not exceed the amount paid by you, if any, to the Company for the use of the Platform.

Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any and all claims, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Platform or any violation of this Agreement.

Termination
The Company may, in its sole discretion, suspend or terminate your access to the Platform at any time and for any reason, without notice or liability.

Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of Cameroon and the African Union. Any dispute arising out of or relating to this Agreement shall be resolved through arbitration in accordance with the rules of [Arbitration Institution], with the seat of arbitration in international courts. The language of the arbitration shall be English.

Entire Agreement
This Agreement constitutes the entire agreement between you and the Company regarding the use of the Platform and supersedes any prior or contemporaneous agreements, understandings, or representations.
